In Part One we looked at some of the usual issues that American companies face when they do international business. We also looked at some of the challenges that large corporations face when doing business abroad. Now we’ll look at three of the more common and therefore interesting, topics in international corporate finance. We’ll examine whether you can take my exam for me, and if so, what kind of questions you might be asked. Finally, we’ll consider what kind of curriculum you should expect when you do my university examination.
In Part Two we looked at why some international corporate finance agreements are actually written by American companies. What makes an American company interested in an international joint venture agreement? How do they go about writing one? And how are such agreements written when companies from within the US are involved? These are just a few of the issues we’ll address in this third post.
To answer the questions above, let’s consider how corporate finance law firms decide which agreements they’re going to write. Do they look at the economics? Do they look at the history? Are they interested primarily in developing countries, or do they want to develop markets here first? If you were a company wanting to do an international JV, would you want to have your lawyers specialize in international corporate finance, or would you want to have just attorneys do the work?
These are all very important questions. You don’t want to take my exam for me to learn that you should have your own attorney to do your international corporate finance work, but you really do want a top lawyer to write the deal. Let’s look at some more topics in international corporate finance. Some of the major areas of focus will include issues like foreign acquisitions, mergers and acquisitions, ownership, investment, dividends, and financing. All of these topics can make large amounts of money for one company, so it’s very important that these issues are well understood by your accountants and lawyers. It would be a shame to do an international deal and then not be aware of the tax implications, or other financial implications to your company.
Before I finish though, I do want to touch on a few topics in international corporate finance that aren’t about taxes, and ones that you should know if you’re considering going after a similar market. The first is distributors, which means you have a smaller company and you want to take my exam for me so you can sell it to a bigger company. This can be a very lucrative way of creating wealth, but you have to know the laws and regulations concerning the various distribution routes you can take to get your product out there.
Another of the important topics in international corporate finance is partnerships. If you are trying to create a partnership with another company, this can be very profitable, but it can also be very difficult as well. You may need an American tax attorney, or a European tax attorney, depending on the nature of the partnership. You may also need specialized knowledge to deal with the legal aspects of signing a contract. The topics in international corporate finance that cover these kinds of issues are very important, but again, if you don’t have experience, you need to find someone with experience who can show you how to do it properly.
Of course, one of the most important topics in international corporate finance is global mergers and acquisitions. These are very common and can create tremendous wealth or losses for any company. Again, you will need someone with knowledge and experience in this area if you plan on going after the global mergers and acquisitions. There are many books and websites devoted to covering the various topics in international corporate finance and you should definitely do some reading if this is your field of interest. The money is certainly plentiful, but it’s not always easy to grab it. That’s why you need the knowledge and experience of those who are experienced in this field.
